and ensure good corporate governance in terms of the operations in compliance with Good Corporate Governance Practices and the relevant laws and according to the Securities Exchange of Thailand\u2019s guidelines.<\/p><p>\u00a0 \u00a0 \u00a0 \u00a0 Therefore, the Board of Directors has approved appointment of the Good Corporate Governance Committee with the following duties and responsibilities.<\/p><p>\u00a0 \u00a0 \u00a0 \u00a0 1) To propose the Good Corporate Governance Guidelines to the Board of Directors.<\/p><p>\u00a0 \u00a0 \u00a0 \u00a0 2) To monitor the performance of the Directors and Executives in compliance with Good Corporate Governance Practices and the Securities Exchange of Thailand\u2019s Good Corporate Governance Practices as well as international practices.<\/p><p>\u00a0 \u00a0 \u00a0 \u00a0 3) To consider, review and revise the Good Corporate Governance Policy consistently at least once a year in line with the international guidelines and recommendations of the Good Governance Development &amp; Alliance Department, the Securities Exchange of Thailand, and the relevant governmental offices.<\/p><p>\u00a0 \u00a0 \u00a0 \u00a0 4) To report to Board of Directors about the Company\u2019s good corporate governance performance supported by comments, guidelines and recommendations for improvement as appropriate.<\/p><p>\u00a0 \u00a0 \u00a0 \u00a0 5) To hold meetings of the Good Corporate Governance Committee as necessary and appropriate at least twice a year and report the results of the meetings to the Board of Directors.<\/p><p>\u00a0 \u00a0 \u00a0 \u00a0 6) To prepare a summary report on the performance and corporate governance of the Good Corporate Governance Committee which will be included in the Annual
